Introduction

The six CEMAC member states — Cameroon, Chad, the Central African Republic, the Republic of Congo, Equatorial Guinea and Gabon — share the Central African CFA franc, issued by the Bank of Central African States (BEAC) and pegged to the euro. Capital moves freely between CEMAC states. Transactions with the rest of the world, however, are governed by CEMAC exchange-control regulations (notably Regulation No. 02/18/CEMAC/UMAC/CM of 21 December 2018) and administered in practice through authorised intermediary banks.

Transfers must be routed through authorised banks

Payments to and from outside the CEMAC zone must pass through an authorised intermediary bank (banque intermédiaire agréée). Direct or informal channels expose parties to sanctions and can compromise the documentation needed to evidence the lawfulness of the transfer. Investors should confirm early that every counterparty payment flow is bankable in this sense.

Repatriation and export proceeds

Exporters and service providers in the CEMAC zone are required to repatriate foreign-currency proceeds earned from external transactions within prescribed periods and to manage them under the rules administered by the BEAC. Intra-group treasury flows — management fees, dividends, service charges — should be documented with contracts and invoices that satisfy the intermediary bank’s documentary requirements.

Practical implications for transactions

For acquisitions and financings, exchange-control mechanics should be settled in the transaction documents: which bank will route the completion payments, what documentation the bank will require, and how long the documentary checks will take. Local counsel should be involved before signing — retro-fitting a payment structure after completion is far more difficult.

Conclusion

CEMAC exchange control is manageable with the right sequencing: choose the routing bank early, document the underlying transactions, and respect repatriation obligations. ALPs advises investors and lenders on exchange-control compliance in Cameroon and across the CEMAC zone.
