Cross-Border Transactions
Coordinating Cameroonian and OHADA law with international counsel and international standards.
Overview
Cross-border work into Cameroon succeeds or fails on coordination. Investment structures, acquisitions, financings and disputes regularly span Cameroon, other OHADA states and foreign jurisdictions — each layer bringing its own approvals, formalities and risk allocation. Cameroon’s participation in international instruments — including the New York Convention for arbitral awards — and the OHADA framework’s regional reach provide real anchors for cross-border transactions, but they must be used deliberately. ALPs advises international clients and coordinates with foreign counsel on matters where Cameroonian and OHADA law meet the world.
Inbound investment
We advise foreign investors on establishing and acquiring businesses in Cameroon — structuring, approvals, due diligence and the regulatory registrations that ownership changes require.
Multi-jurisdictional transactions
We coordinate the Cameroonian and OHADA workstream of multi-country transactions, working alongside international counsel to align deal architecture, conditions precedent and completion mechanics.
Cross-border disputes
We advise on disputes with an international dimension — international arbitration, enforcement of foreign judgments and awards in Cameroon, and the coordination of parallel proceedings.
Compliance across borders
We advise on the cross-border compliance dimensions of regional operations — exchange control, data protection and anti-bribery expectations of international partners and lenders.
