REGIONAL EXPERTISE

OHADA

Mastery of the Uniform Acts that govern business across 17 African states.

Overview

Overview

OHADA — the Organisation for the Harmonization of Business Law in Africa — provides the business law framework that applies directly across its 17 member states, including Cameroon. Its Uniform Acts, adopted in areas ranging from commercial companies and security interests to arbitration, insolvency and general commercial law, prevail over conflicting national law in business matters, and their interpretation falls to the Common Court of Justice and Arbitration (CCJA) in Abidjan. For any business operating across Central and West Africa, OHADA law is not an abstraction — it is the operating system of commerce. ALPs practises within that system daily.

Uniform Act compliance

We advise on compliance with the OHADA Uniform Acts most relevant to your business — commercial companies (AUSCGIE), general commercial law, commercial debt recovery, security interests and insolvency (AUPC).

Regional transactions

We structure transactions and corporate operations — incorporations, share transfers, reorganisations, security packages — that must function across multiple OHADA member states.

CCJA questions and arbitration

We advise on references to the CCJA — including requests for advisory opinions on Uniform Act interpretation — and represent clients in arbitrations under the OHADA framework.

Regional enforcement

We advise on the enforcement of judgments, awards and security across the OHADA zone, where the Uniform Acts provide harmonised, treaty-backed mechanisms.
